David and Mary Harrison Distinguished Professor of Law. Research areas include securities regulation, contracts, corporate finance, law and development, and financial derivatives. Work challenges conventional wisdom regarding the historical purpose of the securities laws, identifies economically relevant differences between common law and civil law countries, and rethinks certain basic relationships between law and social norms. Employs both historical research and empirical techniques. Served as an Associate Editor of the Journal of Economic Perspectives (2004-2007).
