Berg Professor of Business Law. Thesis in recent core work is that corporate structures and laws should be understood as in large measure political economy outcomes. Structural ownership outcomes best understood not in terms of technical corporate law but in whether and how key interests and government structures in the U.S., Europe, Japan, and the developing world support or denigrate capital markets.
